Fees $25.00 S' ,- z RESOLUTION NO. 14,019 �-. 1/44,111!moo 3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER, MAYOR 4 AND CITY CLERK TO EXECUTE ANY DOCUMENTS NECESSARY 5 AND TAKE OTHER ACTIONS NEEDED TO PURCHASE A HISTORIC 6 PRESERVATION EASEMENT ON THE WILLIAM E. WOODRUFF 7 HOUSE, LOCATED AT 1017 EAST 8TH STREET AND 1023 EAST 8TH 8 STREET, IN THE CITY OF LITTLE ROCK, ARKANSAS, FOR NINETY- 9 NINE THOUSAND, FIVE HUNDRED DOLLARS ($99,500.00); AND FOR 10 OTHER PURPOSES. 11 12 WHEREAS, The Woodruff House, located at 1017 East 8'h Street and 1023 East 8th Street in Little 13 Rock, Arkansas, was built in 1853 by William E. Woodruff, founder and longtime editor of the Arkansas 14 Gazette,and is one of the few antebellum homes remaining in Little Rock; and, 15 WHEREAS, due to its historic significance, the Woodruff House was placed on the National 16 Register of Historic Places on March 21, 1989; and, 17 WHEREAS, the Quapaw Quarter Association wishes to purchase the Woodruff House to help 18 preserve Little Rock's architectural heritage; and, 19 WHEREAS, the Arkansas Historic Preservation Program ("AHPP") has agreed to provide a grant to 20 the City of Little Rock to be used, with the City's required match, for the purchase of a Historic 21 Preservation Easement on the Woodruff House after the Woodruff House is purchased by the Quapaw 22 Quarter Association; and, 23 WHEREAS,the Little Rock Board of Directors recognizes the importance of the City's architectural 24 heritage and related tourism opportunities and desires to purchase a Historic Preservation Easement on the 25 William E. Woodruff House. 26 NOW,THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY 27 OF LITTLE ROCK,ARKANSAS: 28 Section 1. The Little Rock Board of Directors hereby authorizes the City Manager, Mayor and City 29 Clerk to receive AHPP Grant Funds and to execute any documents necessary and take other actions 30 needed for the purchase of a Historic Preservation Façade Easement in and to the real property located at 31 1017 East 8`h Street and 1023 East 8`h Street, more particularly described in Attachment "A" to this 32 resolution, and the exterior surfaces of the William E. Woodruff House located thereon, for Ninety-Nine 33 Thousand, Five Hundred Dollars($99,500.00). [Page 1 of 31 1 Section 2. The above-described authority to purchase a historic preservation easement on the 2 Woodruff House is contingent upon: 3 (a) the execution of a grant agreement between the City and the Arkansas Historic Preservation 4 Program for a grant in the amount of Forty-Nine Thousand, Seven Hundred Fifty Dollars 5 ($49,750.00)to be used for reimbursement of one-half of the easement purchase price; 6 (b) the City's receipt of a file-marked deed evidencing the Quapaw Quarter Association's ownership 7 of the Woodruff House; and 8 (c) the execution of a Historic Preservation Easement agreement between the City of Little Rock and 9 the Quapaw Quarter Association, in a form to be approved by the City Attorney, with a provision 10 that provides that all rights and obligations under the easement will automatically transfer to the 11 State of Arkansas for historic preservation purposes in the event that: 12 (i) the City no longer wishes to own the easement, or 13 (ii) the City wishes to amend the easement, and the Arkansas Historic Preservation Program 14 certifies in writing that such a change had the potential to impact the historic nature of the 15 structure or cause the structure to lose its eligibility for listing on the National Register of 16 Historic Places. 17 Section 3. Funds for this purchase will be paid from the 2014 Special Projects Budget for 18 Undesignated Grant Match with Forty-Nine Thousand, Seven Hundred Fifty Dollars ($49,750.00) to be 19 reimbursed by the Arkansas Historic Preservation Program through a Certified Local Government Grant. 20 Section 4. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or 21 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or 22 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and 23 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the 24 resolution. 25 Section 5.Repealer. All laws, ordinances, resolutions,or parts of the same,that are inconsistent with 26 the provisions of this resolution, are hereby repealed to the extent of such inconsistency. 27 ADOPTED: December 2,2014 28 ATTEST.
