3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO
4 APPROVE A ONE (1)-YEAR EXTENSION OF THE ANNUAL
5 SOFTWARE MAINTENANCE AGREEMENT WITH IBM
6 CORPORATION, IN THE AMOUNT OF ONE HUNDRED FORTY-
7 SEVEN THOUSAND, EIGHT HUNDRED EIGHTY-EIGHT DOLLARS
8 ($147,888.00); AND FOR OTHER PURPOSES.

10 WHEREAS, the City of Little Rock uses an IBM Mainframe Computer to manage its database
11 systems for the Little Rock Police Department, Treasury Management, Parking Enforcement, District
12 Court and the Vehicle Storage Facility; and,
13 WHEREAS, operation of the IBM Mainframe Computer requires IBM Operating System Software;
14 and,
15 WHEREAS,the IBM Operating System Software license agreement requires that maintenance of the
16 software must be performed by IBM Corporation; and,
17 WHEREAS, Little Rock Ordinance No. 20,220 (February 16, 2010) dispensed with competitive
18 bidding and awarded a new agreement with IBM Corporation for software license subscription and
19 support for the City's IBM Mainframe Operating System Software for one(1)-year; and,
20 WHEREAS, Ordinance No. 20,220 also provided for annual extensions of the agreement with IBM
21 by resolution upon recommendation of the City Manager.
22 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
23 OF LITTLE ROCK,ARKANSAS:
24 Section 1. The Board of Directors hereby authorizes the City Manager to enter into a one (1)-year
25 Software Maintenance Agreement with IBM Corporation in the amount of One Hundred Forty-Seven
26 Thousand, Eight Hundred Eighty-Eight Dollars ($147,888.00), to provide subscription and support
27 pursuant to the terms of the IBM Operating System Software license.
28 Section 2. Funds for this purchase are available in the City's Information Technology Operations
29 Accounts No. 103030—61320 and No. 108309-61320-S30A396.
30 Section 3. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
31 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or
32 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and
33 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the
34 resolution.

1 Section 4. Repealer. All laws, ordinances, resolutions, or parts of the same, that are inconsistent
2 with the provisions of this resolution, are hereby repealed to the extent of such inconsistency.
