3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO
4 APPROVE AN AMENDMENT TO THE CONTRACT BETWEEN THE
5 CITY OF LITTLE ROCK AND FRIDAY, ELDREDGE & CLARK, LLP,
6 TO PROVIDE LEGAL COUNSEL TO REPRESENT THE CITY BEFORE
7 THE CIVIL SERVICE COMMISSION; AND FOR OTHER PURPOSES.

9 WHEREAS, on July 1, 2012, the City of Little Rock ("City") entered into a contract with Friday,
10 Eldredge & Clark, LLP, ("Law Firm") to provide legal counsel to represent the City before the Civil
11 Service Commission; and
12 WHEREAS, the term of the contract was one (1)-year from the date of execution with the provision
13 that it would be automatically renewed at the sole option of the City for a maximum of six (6) additional
14 one(1)-year terms, beginning July 1, 2013; and
15 WHEREAS, the contract further provided that in no event would the contract extend beyond June
16 30, 2019; and
17 WHEREAS, the contract states that in no event shall total remuneration exceed the sum of Forty-
18 Five Thousand Dollars ($45,000.00) per year unless the City and the Law Firm agree upon an
19 amendment to the contract; and
20 WHEREAS, due to an unexpected increase in Civil Service Commission appeals, the Law Firm is
21 requesting an amendment to the contract amount of Forty-Five Thousand Dollars ($45,000.00) for the
22 balance of 2013,with an option to amend the contract amount for 2014, if approved by the City Manager;
23 and
24 WHEREAS, after a review of the previous five (5) years of billings from the Law Firm and the
25 increase in the number of Civil Service appeals constitutes sufficient justification to exceed the original
26 contract amount.
27 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
28 OF LITTLE ROCK,ARKANSAS:
29 Section 1. The City Manager is hereby authorized to approve an amendment to the contract
30 between the City of Little Rock and Friday, Eldredge & Clark LLP, to exceed the contract amount of
31 Forty-Five Thousand Dollars ($45,000.00) for the balance of 2013, provided the Law Firm provides
32 sufficient justification that is satisfactory, and an option to amend the contract amount for 2014.

1 Section 2. Funding for this increase in legal fees have been allocated in the 2013 Departmental
2 Budget.
3 Section 3. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
4 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or
5 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and
6 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of
7 the resolution.
8 Section 4. Repealer. All ordinances and resolutions are hereby repealed to the extent of such
9 inconsistency.
