A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE AN AGREEMENT WITH THE BASELINE FIRE
PROTECTION ASSOCIATION FOR THE PURCHASE OF
LAND, EQUIPMENT , MATERIALS AND SUPPLIES OWNED
BY THE SAID ASSOCIATION; WAIVING COMPETETIVE
BIDDING; AND FOR OTHER PURPOSES
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
LITTLE ROCK, ARKANSAS.
SECTION 1. The City Manager is hereby authorized, acting
for and on behalf of the City of Little Rock to execute a con-
tract with the Baseline Fire Protection Association to purchase
from said Association that real property, together with impro-
vements situated thereon , equipment , materials and supplies all
owned by said Association to be used in providing fire protection
all identified and described in Exhibit "A" attached hereto and
made a part hereof the same as though set out herein word for
word. The said contract must provide and be conditioned at
least in the following particulars :
a) Purchase price of $40 , 000 . 00 cash to be paid by the City
upon closing and upon conveyance by the Association of good and
merchantable title to the said real and personal property identi-
fied by Exhibit "A" .
b) The City of Little Rock would immediately upon execution
of said contract take possession of all such property and equip-
ment and provide the personnel to afford fire protection to those
properties being served by the Association situated within the
area of land approved for annexation to the City of Little Rock
in an election held May 3 , 1973 and continue to offer such services
until and unless directed otherwise by a court of competent juris-
diction , at which time such services will cease and there will
be no obligation on the part of the City in the premises.
c) No obligation shall exist on the part of the City to
purchase any of the property herein described should a court of
competent jurisdiction , for whatever reason stated, render a
judgment that the annexation of the territory approved in the
election of May 3 , 1973 was invalid. Provided, further, should

a court or courts of competent jurisdiction find the annexation
of territories to the City of Little Rock as approved in the
election held May 3 , 1973 to be valid as proposed by the City
in its entirety, then the contract to purchase as herein author-
ized shall be consummated and closed not later than 60 days
following the date of the mandate of the Court of last resort
pertaining to such litigation.
SECTION 2 . Competetive bidding for the purchases herein
authorized is waived as a result of a finding by the Board of
Directors of an existence of an exceptional situation pertaining
to the contract particularly in regard to the situation of the
property to serve the public involved, the values of said pro-
perties and the need for immediate fire protection.
SECTION 3 . This Resolution shall be in full force and
effect from and after its adoption.
