2242 RESOLUTION NO . 2242 A RESOLUTION AUTHORIZING AND DIRECTING THE MAYOR AND CITY CLERK TO EXECUTE AND ENTER INTO AN AGREEMENT ON BEHALF OF THE CITY OF LITTLE ROCK WITH THE ARKANSAS LIVESTOCK SHOW ASSOCIATION AS SET OUT HEREIN; AND FOR OTHER PURPOSES. BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF LITTLE ROCK, ARKANSAS: SECTION 1. The Mayor and City Clerk are hereby authorized and directed to execute and enter into an Agreement on behalf of the City of Little Rock with the Arkansas Livestock Show Association, which Agreement shall be in form and words as follows : :. A G R E E M E N T by and between ARKANSAS LIVESTOCK SHOW ASSOCIATION and CITY OF LITTLE ROCK, ARKANSAS Housing Authority of the City of Little Rock, Arkansas Project ARK R-2 Livestock Show Area Project WHEREAS, the Housing Authority of the City of Little Rock, Arkansas, has acquired title to certain lands in the City of Little Rock, Arkansas, in its project known as Livestock Show Area Project, Project ARK R-2, which lands are designated Area (C) in said project, and which Area (C) is more particularly described as follows: Beginning at a point which is the intersection of the centerline of the alley between Dennison Street and Howard Street and the south right-of- way line of West 23rd Street; thence westward along the south right-of-way line of West 23rd Street to a point on the centerline of Thayer Avenue; thence southward to the intersection of the centerlines of Thayer Avenue and Bertram Street; thence eastward to the alley between Thayer Avenue and Rice Street; thence southward along the alley to a point on the north right-of- way line of Roosevelt Road; thence eastward along the north right-of-way line of Roosevelt Road to the intersection of the right-of-way line and the centerline of the alley between Dennison Street and Howard Street; thence northward to the point of beginning; WHEREAS, as part of the Urban Renewal Plan for said Project a portion of said Area (C) is to be used by the City of Little Rock, Arkansas, as a public park-playground; and WHEREAS, title to the lands comprising said Area (C) is to be vested in the State of Arkansas, which is to lease same to the Arkansas Livestock Show Association for a period of 37 years, pursuant to said Urban Renewal Plan, and it is necessary that an agreement be entered into between the Arkansas Livestock Show Association and the City of Little Rock, Arkansas, in regard to the use of said portion of Area (C) by the City of Little Rock, Arkansas, as a public park- playground; NOW, THEREFORE, each of the parties hereto, for and in consid- eration of the premises and the agreements of the other party here- to, do hereby covenant and agree to the following: 1. The Arkansas Livestock Show Association does hereby grant to the City of Little Rock, Arkansas, the right to install, operate and maintain a public park-playground of approximately six (6) acres in size located in the North portion of said Area (C) described here- inabove, which right shall remain in effect for a period of 37 years, expiring on the 28th day of November, 1995 , being the date that the lease of the Arkansas Livestock Show Association from the State of Arkansas expires; it being specifically understood and a- greed that Arkansas Livestock Show Association shall do only such grading and site improvement as it deems necessary for the parking of automobiles by it and its patrons on said park-playground area and shall not be required to do any special or additional surfacing or drainage work for the purpose of operation or maintenance of such park-playground area and shall not be liable to any person for any personal injury or property damage or any other damage suffered by such person by reason of the operation and maintenance of such park- playground area and the use thereof by any person . 2. The City of Little Rock, Arkansas , through its appropriate Board or Commission, agrees to install, operate and maintain said public park-playground upon said lands at its own expense, and to use said lands for recreational and playground purposes, provided that the Arkansas Livestock Show Association reserves the right to use said lands for parking purposes at such time as in its judgment its parking demands require the use of said lands. 3 . The City of Little Rock, Arkansas, agrees to provide play- ground and recreational equipment and facilities at a cost of not less than $2,000.00, which equipment and facilities shall be movable and used by the City in such manner as not to interfere with the maximum parking needs of Arkansas Livestock Show Association; and to maintain the surface of the public park-playground area in such a manner as not to interfere with the maximum parking needs of the Arkansas Livestock Show Association; and to provide adequate play- ground supervision through its appropriate Board or Commission . The City agrees that it or its appropriate Board or Commission acting for and in its behalf will remove such equipment and facilities and store the same in the least space possible within the space designated by Arkansas Livestock Show Association upon five days ' notice from Arkansas Livestock Show Association of its desire to use the area for parking, and further agrees that in the event it shall not promptly remove same upon such notice being given that Arkansas Livestock Show Association may remove the same for such purpose and shall not be liable to the City for any damage sustained or incurred by its removal thereof. IN WITNESS WHEREOF, the Arkansas Livestock Show Association and the City of Little Rock, Arkansas, have caused this Agreement to be signed by their duly authorized officers, all as of this day of , 1953 .
