13688 1 RESOLUTION NO. 13,688 2 3 A RESOLUTION TO APPOINT THE FIRM OF FRIDAY ELDREDGE & 4 CLARK, LLP, TO SERVE AS BOND COUNSEL FOR AN ISSUE OF CITY 5 OF LITTLE ROCK HOTEL AND RESTAURANT GROSS RECEIPTS 6 TAX BONDS; AND FOR OTHER PURPOSES. 7 8 WHEREAS, the Little Rock Advertising and Promotion Commission ("Commission") and the City 9 of Little Rock have determined that the City of Little Rock requires professional bond counsel services 10 for a hotel and restaurant gross receipts tax bond issue to be issued by the City of Little Rock to finance 11 improvements to Robinson Center(the"Services"); and, 12 WHEREAS, on behalf of the City of Little Rock, the Commission did publish a Request for 13 Qualifications requesting firms able and desirous of performing the Services to respond thereto; and, 14 WHEREAS, the firm of Friday Eldredge & Clark, LLP, responded thereto and was identified as the 15 first selection, based on qualifications and experience,to perform the said Services; 16 NOW,THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY 17 OF LITTLE ROCK.ARKANSAS: 18 Section 1. The firm of Friday Eldredge & Clark, LLP, is hereby appointed to serve as bond counsel 19 for a hotel and restaurant gross receipts tax bond issue to be issued by the City of Little Rock for the 20 purpose of financing improvements to Robinson Center. 21 Section 2. The City Manager is hereby authorized to negotiate and to execute any and all documents 22 and to take all actions necessary to carry out the purposes of this resolution. 23 Section 3. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or 24 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or 25 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and 26 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the 27 resolution. 28 Section 4. Repealer.
