4929ORDINANCE NO._4&, AN ORDINANCE AUTHORIZING THE BOARD OF PUBLIC AFFAIRS TO ENTER IVTO A CONTRACT ON BEHALF OF THE CITY OF LITTLE ROCK, ARKANSAS FOR THE OPERATION OF THE SERVICE STATION OWNED AND TO BE OV7NED BY THE TEXAS COMPANY, A CORPORATION OF DELAWARE AT THE LITTLE ROCK MUNICIPAL AIRPORT AND FOR OTHER PURPOSES. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF LITTLE ROCK: Section 1. The Board of Public Affairs is hereby author- ized and directed to enter into a contract on behalf of the City of Little Rock, Arkansas with the Texas Company, a corporation of Delaware, for the operation of the service station at the Little Rock Municipal Airport owned by the Texas Company, said contract shall be as follows, to —:vit: Agreement between THE TEXAS COMPANY, a corporation of Delaware, and THE CITY OF LITTLE ROCK, ARKANSAS for operation of its Service Station at the Little Rock Municipal Airport. 1. The Texas Company shall maintain said station and each and every item of property oonnected therewith in good condition and appearance; The City of Little Rock shall: (1) use the same solely for storing, handling and selling petroleum products supplied by the Company; (2) not sell the Company's products directly or indirectly at less than authorized prices; (3) provide all necessary assistants, pay their salaries, and assume full direction and control thereover; (4) accept full responsibility for and indemnify the Company against all acts and ommissions of himself, his agent, employees and servants, and exonerate the Company and hold it harmless from all claims, suits and liabilities of every character whatsoever and howsoever arising from the existence or use of the eouipment at said station; (5) not assign this agreement without the Company's written consent; (6) pay to the Company on demand all amounts due the Company; (7) be responsible for all loss or damage to Company products while in its possession and account for said products as if soli; and (8) pay all expenses incident to the proper operation and maintenance 2. of said service station, including, without limiting the foregoing, exl -enses for gas, dvater, light, all licenses, privile -es, :and/or other taxes assessed and/or having relation to said service station (exce,--t ad valorem taxes and /or assessments on Company- owned real property and fixtures, and taxes imposed upon the receipt, handling, sale or use of motor fuels included in prices to customers and for %hick the Jity is accountable to the Company). In event of City's failure to pay said expenses, the Company may pay the same and deduct such payments from commissions payable to the City hereun,'er for the purpose of reimbursin-- itself. II. Of Texaco Airplane Oils, .,?otor Oils, Lubricating Oils and Greases the difference bet.lieen the retail prices at which the City shall sell said products and the Company's whole- sale price for said products, except as hereinafter pro- vided on sales to contract customers. For sale to contract customers authorized by the Texas Company the Company shali pay the City 6ne following compensation rased on sales. Of' Aviation Gasoline - On sales of 5,u00 gallons or less per Morita to each contract customer - - - - - - - - - - - - - - - - - (3 (t) three cents per gallon. The Company may .withhold any commission, moneys or any- thin- of value in its possession belonging or due to the City for the purpose of reimbursing itself for any amounts due hereunder from the City at any time and may change the rates of commission payable hereunder by prior written agreement wit.i the City.
