THE STANDARD OIL CO'`PAN"r OF LOUISIANA, A CORPORATION OF THE STATE
OF LOUISIANA AS LESSEE FOR A CERTAIN TRACT OF LAND CN THE LITTLE
?'?CFA "_UNICIPAL AIRPORT AND FOR OTHER PURPOSES.
BE IT ORDAINED BY THy CITY COUNCIL OF THE CITY OF LITTLE ROCK:
Section 1. The MaJTor and Cit r Clerk are hereb-, authorized
and directed to execute a lease agreement by and between the City
of Little Rock, Arkansas, as Lessorland the Standard Oil Company of
Louisiana, a corporation of the State of Louisiana, as Lessee, which
lease shall be in the follocfiing words and terms, to -wit:
THIS AGREEF:IENT, made this day of
in the year 1931, by and between the City of Little Rock, Arkansas,
hereinafter called Lessor, and Standard Oil Company of Louisiana,
a corporation of the State of Louisiana, hereinafter called Lessee,
which expression shall include its successors and assigns where the
context so recuires or admits.
WITNESSETH:
1. Lessor does hereb, lease unto the Lessee a
tract of land with the improvements thereon, on the Little Rock
;.unicipal Airport, Count; of Pulaski, State of Arkansas, described
on the blue -print attached hereto and made a part of this lease.
2. Term. To have and to hold for the term of five
years, from and after the first day of January, 1932, but subject to
termination by either party at the end of the first year or any
subsequent year u:on thirty days written notice.
I# is hereby agreed that in the event the Lessor
shall terminate this lease at the time and in the manner described
.hove, the Lessor will purchase from the Lessee all improvements,
structures and equipment placed on the demised premises by the Lessee.
Such improvements shall consist of a stucco finished building, under
ground tank and pipes, and all other equipment necessary to properly
dis:,ense petroleum products. The cost of the improvements including
all structures, equipment and cost of installation on the demised
premises is not to exceed fifteen hundred ($1500.00) Dollars on the
effective date of this contract, It is hereby mutually agreed and
understood that if the Lessor shall purchase from the Lessee all
improvements as above mentioned, the purchase price thereof shall not
be to exceed fifteen hundred ($1500.00) Dollars less ten (10) per
centizm per year depreciation from the effective date of this lease.
It is further agreed that in the event the Lessee
shall terminate this lease at the time and in the manner described
in Paragraph One, Section two above, Lessee shall pay Lessor as
consideration for said cancellation an amount w).ich shall be de-
termined by multiplying the average monthly rental theretofore paid
by the number of full years remaining before the expiration of this
lease, unless an agreement is reached between Lessor and Lessee as
to purchase price upon a basis as indicated in Paragraph two, Section
two of .this lease.
3. mental. Lessee agrees to pair the following rent
for said premises; One (1/) Cent per ,allon on each gallm of _Aviation

the fifteenth of the month following the month for which payment is
being made, and agrees that, if any installment thereof shall be due
and unpaid for ten days after written notice of such default has been
delivered to the Branch 11anager of Lessee at Little Rock, arkansas,
Lessor shall them have the right to terminate this lease on thirty
days written notice to Lessee.
4. :.aintenance, Lessee agrees to maintain said -?re-
mises and im,rovements in good repair during the term of this lease.
5. Removal of property. Lessee shall within thirty (30)
days after the termination of this lease sever and remove all fixtures,
equipment, and other property of Lessee placed on said premises by
Lessee durin the term of this or any previous lease, or any extension
or renewal thereof, unless the full value of the equipment and futures
plus cost of installation has been paid by the Lessor to the Lessee as
hereinbefore - rovided.
6. Lessee's right of termination. Should the structures
on said jremises be destroyed by fire or storm, or should Lessee for
any reason be prevented from establishing of continuinZ the business of
distributing petroleum products on said premises, Lessee may terminate
this lease u;on giving ten days written notice, in which event the
rental obligation shall be pre -rated to the Hate of such termination.
7. Damages for defect in title. Lessor covenants that
he is -,.dell seized of said ;premises, has good right to lease the same,
and warrants and - ::agrees to defend the title thereof; and to reimburse
and hold Lessee harmless from all damages and expenses which Lessee
may suffer by reason of any restriction, encumbrance or defect in
such title.
8. Taxes and encumbrances. Lessor :agrees to pay all
taxes, assessments, and obligations which are or may become a lien on
the demised premises and improvements as they become due. If Lessor
should fail to do so, Lessee should have the right either to make
such payments for the account of Lessor, in which event it shall be
subrogated to all the rights of the 'holder of such lien, and in
addition thereto shall have the right to apply accruing; rentals in
satisfaction of such obligations; or Lessee, in the event of a fore-
closure of any such lien and the sale of said demised premises and
improvements, shall have the right to buy in said premises and im-
provements for its own account.
9. Successors and assins. This agreement shall be
binding upon and shall innure to the benefit of the parties thereto
and their respective successors or assigns.
10. Option to continue Lease. The Lessee is hereby
granted an option ,-Then ;Mutually agreed to by Lessor and Lessee to
continue this lease after the expiration of the five -year period
at the same rental and upon the same terms and conditions as herein
provided.
