4931ORDINANCE NO._� 1 AN ORDINANCE AUTHORIZING THE TO ENTER INTO A CONTRACT ON BEHALF OF THE ARKANSAS FOR THE OPERATION OF THE SERVICE TO BE OWNED BY THE STANDARD OIL COMPANY 0' OF LOUISIANA AT THE LITTLE ROCK MUNICIPAL PURPOSES. BOARD OF PUBLIC AFFAIRS CITY OF LITTLE ROCK, STATION OWNED AND F LOUISIANA, A CORPORATION AIRPORT AND FOR OTHER BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF LITTLE ROCK: Section 1. The Board of Public Affairs is hereby authorized and directed to enter into a. contract on behalf of the City of Little Rock, Arkansas with the Standard Oil Company of Louisiana, a corporation of Louisiana, for the operation of the service station at the Little Rock Municipal Airport owned by the Standard Oil Company of Louisiana, said contract shall be as follows, to —wit: THIS AGREEMENT made and entered into this day of .1931 by and between Standard Oil Company of Louisiana, a. corporation, hereinafter designated "Company ", and The City of Little Rock, Arkansas, hereinafter designated "City ". WITNESSETH: The Company does hereby appoint the City to superintend, manage and operate its service station for the sale of Aviation Gasolines, Motor Oils, Greases and-other petroleum products sold by the Company upon the premises, situated in Little Rock, Arkansas, and described in the blue —print attached hereto and made a part of this Agreement. The Standard Oil Company of Louisiana shall maintain said station and each and every item of property connected therewith in good condition and appearance. 1. The City of Little Rock shall: (a) Use the same solely for storing, handling and selling petroleum products supplied by the Company. (b) Not sell the Company's products directly or indirectly at less than authorized prices. (c) Provide all necessary assistants, pay their salaries, and assume full direction and controlthereover. (d) Accept full responsibility for and indemnify the Company against all acts and omissions of himself his agent, employees and servants, and exonerate the Company and hold it harmless from all claims, suits and liabilities of every character whatsoever and howsoever arising from the existence or use of the equipment at said station. (e) Not assign this agreement without the Company's written consent. (f) Pay to the Company on demand all amounts due the Company. (g) Be responsible for all loss or damage to Co- -:pany products while in his possession and account for said products as if sold. I 2. (M) Pay all expenses incident to the proper operation and maintenance of said service station, including, without limiting the foregoing expenses, for gas, ,hater, light, all licenses, privileges, and/or other taxes assessed and /or having relation to said service station (except ad valorem taxes and /or assessments on Com pany -owned real property and fixtures, and taxes imp_ osed upon the receipt, handling, sale or use of motor fuels included in prices to customers and for which the City is accountable to the Company). In event of City's failure to pay said expenses, the Company may pay the same ;=;end deduct such -ayments from commissions payable to the City hereunder for the purpose of reimbursing itself. 2. The Company shall pair the City the following com- pensation based on sales: Of Aviation Gasolines, 20;0 on the ,osted retail service station price per gallon, excluding tax, except as herein- after provided on sales to contract customers. Of aviation 17otor Oils and Greases, the difference between the retail prices at which the City shall sell said products and the Comany'^ wholesale price for said roducts, except as hereinafter provided on sales to contract customers. For sales to contract customers authorized by the Standard Oil Company of Louisiariq,. the Com any shall pay the City the following compensation based on sales: Of Mlviation Gasoline - On sales of 3,003 gallons or less per month to each contract-customer ----- ----------- - -(3¢) per gallon If total sales exceed 3,000 gallons per month but are less than 5,000 gallons to each contract customer, then the commission on total sales to such contract customers shall be -- two and one -half cents (22) per gal. If total sales exceed 5,000 gallons per month to each contract customer then commission on total sales to such contract customer shall be two cents (2�_') per gallon. Of aviation ?-.:!otor 0,ils and Greases-- (20 ) twenty per centum per gallon on the sale price excluding tax. 3. At the time of the installation of the City at said station, the Company shall deliver to the City a quantity of petroleum products equal to the storage capacity of said station and shall have the right to replenish the stock at any time. Quantities delivered on replenishment shall be deemed to be the quantity sold by the City and shall be the quantity for which the City shall account to the Company and uyDon which commissions will be based. Title to all products delivered by the Company at said station shall remain in the Company until sold. 4. The Company may withhold any commission, moneys or anything of value in its possession belonging or due to the City for the purpose of reimbursing itself for any amounts due hereunder from the City at any time and may change the rates of commission payable hereunder by prior written agreement with the City. 3. 5.
