13617I RESOLUTION NO. 13,617 2 3 A RESOLUTION TO AUTHORIZE THE MAYOR AND CITY CLERK TO 4 EXECUTE AN AGREEMENT WITH FAULKNER COUNTY, 5 ARKANSAS, TO PERMIT A PAYMENT TO THE LITTLE ROCK 6 AMBULANCE AUTHORITY FOR SERVICES IN 2012 PURSUANT TO 7 AN INTERLOCAL AGREEMENT; AND FOR OTHER PURPOSES. 8 9 WHEREAS, the Board of Directors entered into an Interlocal Agreement with Faulkner County, 10 Arkansas, to provide emergency medical health care services through the Little Rock, Ark., Emergency 11 Medical Health Care Facilities Board, also known as the Little Rock Ambulance Authority, and doing 12 business as Metropolitan Emergency Medical Services (MEMS); and, 13 WHEREAS, pursuant to Little Rock, Ark., Resolution No. 13,350 (August 2, 2011), the Board of 14 Directors authorized a three year extension of the Interlocal Agreement; and, 15 WHEREAS, pursuant to Faulkner County, Arkansas, Resolution No. 12 -11 (2012) the Quorum 16 Court of Faulkner County has authorized the payment of a subsidy to MEMS for the services provided in 17 2012, but needs the signature of the Mayor and the City Clerk as a part of this resolution; 18 NOW, THEREFORE, BE IT RESOLVE BY THE BOARD OF DIRECTORS OF THE CITY 19 OF LITTLE ROCK, ARKANSAS: 20 Section 1. The Mayor and City Clerk are authorized to attest to and to sign Resolution No. 12 -11 of 21 the Faulkner County Quorum Court, in a form substantially the same as that attached as Exhibit A to this 22 Resolution, to authorize the payment of a subsidy by Faulkner County to MEMS for emergency medical 23 services provided in 2012. 24 Section 2. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or 25 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or adju- 26 dication shall not affect the remaining portions of the resolution which shall remain in full force and ef- 27 fect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the 28 resolution. 29 Section 3. Repealer. Carpent , City ttorney H H H H H H H H H H H H H H H H H H H H H H H H H H H APPROVED: , a Mark Stodola, Mayor Page 2 of 41 I EXHIBIT A 2 3 PROPOSED RESOLUTION NO. 12 -11 4 5 BE IT RESOLVED BY THE QUORUM COURT OF THE COUNTY OF 6 FAULKNER AND THE CITY OF LITTLE ROCK, ARKANSAS, 7 A RESOLUTION ENTITLED: A RESOLUTION AUTHORIZING THE 8 EXTENSION OF A MEDICAL AMBULANCE SERVICE FRANCHISE TO 9 METROPOLITAN EMERGENCY MEDICAL SERVICES SYSTEM 10 (HEREINAFTER MEMS) BY FAULKNER COUNTY, ARKANSAS. 11 12 WHEREAS, the Faulkner County Quorum Court adopted Ordinance No. 08 -21 recognizing paramedic 13 ambulance services as a professional service and mandating that the Faulkner County Judge, in compli- 14 ance with A.C.A. § 19 -11 -801, request qualified entities to submit proposals to provide the desired para- 15 medic ambulance services, select the best qualified and capable, enter into negotiations and, if determined 16 to be in the County's best interest, execute a contract for the paramedic ambulance services pursuant to 17 the applicable laws; and 18 WHEREAS, the City of Little Rock established the Little Rock Ambulance Authority (hereinafter Au- 19 thority), which, after having been conferred the appropriate authorization, established MEMS; and 20 WHEREAS, it was determined that MEMS was the best qualified and capable to provide the necessary 21 paramedic ambulance services; and 22 WHEREAS, the City of Little Rock has agreed that it is in the best interests of Little Rock, Arkansas, 23 and the entities associated with MEMS to renew the contract with Faulkner County to extend the opera - 24 tion of MEMS under an exclusive franchise Agreement to the residents of Faulkner County. 25 NOW THEREFORE BE IT RESOLVED BY THE COUNTY COURT OF THE COUNTY OF 26 FAULKNER AND THE CITY OF LITTLE ROCK, ARKANSAS THAT: 27 1. It is the desire of the City of Little Rock, Arkansas, as MEMS' enabling governmental entity, and 28 the Faulkner County Court to execute an Interlocal Agreement memorializing the renewal of the 29 previously negotiated Agreement with MEMS so as to establish necessary paramedic ambulance 30 services to the citizens of Faulkner County. Such Agreement shall be for a term of one year, in 31 substantially the same form as the prior Agreement, and provide for a 2012 subsidy to MEMS by 32 Faulkner County in the amount of $14,859.00. 33 Executed this day of , 2012.
