109274 . • , o ORDINANCE NO. 100927 r-4 AN ORDINANCE REORGANIZING THE 'ARKANSAS 1USEUM OF NATURAL HISTORY AND ANTIQUITIES ", CHANGING THE NAME THEREOF TO `LITTLE ROCK MUSEUM OF NATURAL HISTORY AND ANTIQUITIES`, �. AND PROVIDING FOR ITS MANAGEMENT AND MAINTENANCE AND FOR OTHER PURPOSES. MWHEREAS, the '`Arkansas Museum of Natural History and Antiqui- r4 ties'` came into being as a charitable corporation which was incor- OR porated by an order of the Circuit Court of Pulaski County, .Q Arkansas, Second Division, under the provisions of Sections 1788 ro ,o to 1791, inclusive, of Crawford & Moses Digest of the Statutes a� of Arkansas and now a part of Arkansas Statutes Annotated (1:'47) as Section 64 -1301 to Section 64 -1306, inclusive; and WHEREAS, by Ordinance No. 5829 of the City of Little Rock adopted on December 13, 1939, the control, management and maintenance of the Museum, formerly operated by the aforesaid charitable corporation, was assumed by the City of Little Rock, and the aforesaid charitable corporation has long since ceased to function and said Museum, since the adoption of said ordinance, has been controlled, managed and operated by a Board, the members of which have been selected by the Mayor of the City of Little Rock and confirmed by the City Council of the City of Little Rocs:, all under the provisions of the aforesaid ordinance as same has been amended from time to time by subsequent ordinances of said City and especially ordinances numbered 5906, 6325, 9012, 9253, and 9933; and WHEREAS, it now appears desirable to make changes in the organization of the Museum and to adopt a name that reflects that it is, in fact, owned and controlled by the City of Little Rock and is, in fact, a municipal museum and not a state museum; and WHEREAS, it is deemed desirable that the Board of the Museum be authorized to solicit and accept gifts of money and tangible Dtiu- /0 � -7 -2- personal property on behalf of the Museum and to use, expend and employ same as in the discretion of a majority of the Board of Trustees of the Museum is deemed to be for its best interests and improvement; and WHEREAS, it is deemed desirable to authorize the Board of the Museum in its discretion to become a -member of `The Arts Council of Greater Little Pock, Inc.` or any association or charitable corporation of similar nature with the power and authority to withdraw therefrom at any time that a majority of the Board deems it in the best interest of the Museum to withdraw from membership therein: NOW THEREFORE, BE IT ORDAINED BY THE BOARD OF DIRECTORS OF THE CITY OF LITTLE ROCK, ARKANSAS: SECTION 1. The A kansas Museum of Natural History and Antiquities, sometimes referred to as the Museum of Natural History and Antiquities, which is now, and for many years last past has been located and housed in the Old Arsenal Building in MacArthur Park in the City of Little Rock, from and after passage of this ordinance shall be called, and the same is hereby renamed "Little Rock Museum of Natural History and Antiquities." SECTION 2. There is hereby created a Board of Trustees of the Museum which shall consist of nine (9) members. The present members of the Board of the Museum shall continue to serve as the Board of the reorganized and renamed Museum until their successors have been appointed. The first members of the Board of the reorganized and renamed Museum shall be appointed as herein provided for terms as follows: Three (3) members for terms of two (2) years each Three (3) members for terms of four (4) years each Three (3) members for terms of six (6) years each. Upon the expiration of the foregoing terms of the members of the said Board, successors shall be appointed, as herein provided, for terms of six (6) years each, which shall thereafter be the f .. -3- term of each of the members of the said Board. SECTION 3. The City Manager shall make recommendations to the Board of Directors of the City of Little Rock for appointments to be made to the Board of Trustees of the Museum and the Board of Directors of the City shall appoint the persons to fill such vacancies as may occur on the said Board. SECTION 4. The members of the Board of Trustees of the Museum shall elect a chairman, a secretary, and a treasurer of said Board and such other officers as the Board from time to time may, in its discretion, select, elect and designate. The Superintendent of Parks & Recreation of the City of Little Rock shall be and act as the ex- officio secretary of the Board of the Museum, and it shall be the duty of the said ex- officio secretary to keep accurate minutes of the meetings of the said Board and to prepare and present an annual report of the Board of the Museum, as hereinafter provided, to the Board of Directors of the City of Little Rock. SECTION 5. The Board of Trustees of the Museum may adopt By -Laws for its guidance and government so long as the provisions thereof do not conflict with this ordinance. SECTION 6. The Board of Trustees of the Museum shall_ annually make a report to the Board of Directors of the City of Little Rock shaaing the work and activity or the Board for such year. Such report shall be prepared by the ex- officio secretary of the Board and shall contain an accurate and detail statement of all moneys, gifts, contributions, and credits received by the said Board and shall show also in detail the expenditures made by said Board and the balance of funds held by the Board at the time of the said report. Such report shall first be approved by the Board of Trustees of the Museum before it is presented to the Board of Directors of the City. vl -4- SECTION 7. The Museum shall be located in the Old Areenal Building located in MacArthur Park in the City of Little Rock, and all meetings of the Board of Trustees of the Museum shall be held in said building unless a different place of meeting is designated in the notice therefor. SECTION 8. It shall be the primary obligation of the City of Little Rock to provide the necessary funds to maintain the Museum as such funds may be supplemented by gifts or other funds made available through the efforts of the Board of Trustees of the Museum, and said Board is hereby expressly authorized and empowered to accept gifts of money, stocks, bonds, and other kinds of personal property. SECTION 9. The Board of Trustees of the Museum is hereby expressly authorized and empowered to expend such moneys as they may have received as gifts or contributions for such im- provements of the said Museum as they may, in their discretion, deem advisable. SECTION 10. All ordinances and parts of ordinances in con- flict herewith are hereby repealed, and this ordinance shall be in full force and effect from and after its passage and approval.
