3 A RESOLUTION TO APPOINT FRIDAY ELDREDGE & CLARK AS BOND
4 COUNSEL FOR THE PROPOSED ISSUANCE OF LITTLE ROCK,
5 ARKANSAS CAPITAL IMPROVEMENT BONDS, SERIES 2012 (THE
6 BONDS); AND FOR OTHER PURPOSES.

8 WHEREAS, it is necessary to have bond counsel to work with the City to perform legal work to assure the
9 issuance of Capital Improvement Bonds, Series 2012 as proposed; and
10 WHEREAS, the City requested proposals from qualified firms to handle this work; and
11 WHEREAS, a professional services selection committee has evaluated the proposals received; and
12 WHEREAS, the committee has concluded that the law firm of Friday Eldredge & Clark is the most
13 qualified to represent the City of Little Rock as legal counsel for the proposed bond issue;
14 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF
15 LITTLE ROCK, ARKANSAS:
16 Section 1: The Board of Directors hereby authorizes the City Manager to enter into an agreement with the
17 firm of Friday Eldredge & Clark to act as bond counsel for this proposed bond issue.
18 Section 2: Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or word
19 of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or adjudication
20 shall not affect the remaining portions of the resolution which shall remain in full force and effect as if the
21 portion so declared or adjudged invalid or unconstitutional were not originally a part of the resolution.
22 Section 3. Repealer. All laws, ordinances, resolutions, or parts of the same, that are inconsistent with the
23 provisions of this resolution, are hereby repealed to the extent of such inconsistency.
