3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO PARTICIPATE
4 IN NEGOTIATIONS TO DRAFT AN AGREEMENT THAT WOULD CREATE A
5 RESEARCH PARK AUTHORITY WITH THE UNIVERSITY OF ARKANSAS
6 FOR MEDICAL SCIENCES AND THE UNIVERSITY OF ARKANSAS AT LIT-
7 TLE ROCK, TO BE LOCATED WITHIN THE CITY LIMITS FOR THE PUR-
8 POSE OF ECONOMIC DEVELOPMENT; AND FOR OTHER PURPOSES.

10 WHEREAS, Act 1045 of 2007 (Ark. Code Ann. § 14- 144 -101 et seq.) authorizes institutions of
11 higher learning and municipalities and counties to join together to create a research park authority ( "Au-
12 thority "); and
13 WHEREAS, an Authority is to oversee the creation of a research park which is intended to serve as
14 a catalyst for community growth and transformation and as a center for community planning and im-
15 provement; and
16 WHEREAS, such an Authority would have broad powers to develop, fund, and operate research fa-
17 cilities to support and retain Arkansas entrepreneurs and businesses dependent upon research for the fur -
18 ther development; and,
19 WHEREAS, the University of Arkansas at Little Rock, the University of Arkansas for Medical Sci-
20 ences, and the City of Little Rock have expressed an interest in the creation of such an Authority if there
21 can be agreement on the operation of such an Authority;
22 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
23 OF LITTLE ROCK, ARKANSAS:
24 Section 1. The City desires to be a member of a research park authority with the University of Ar-
25 kansas at Little Rock, and the University of Arkansas for Medical Sciences.
26 Section 2. The City Manager is authorized to participate in the draft of an agreement to create a re-
27 search park authority within the city limits of Little Rock with the Board of Trustees of the University of
28 Arkansas acting on behalf of the University of Arkansas for Medical Sciences, and the Board of Trustees
29 of the University of Arkansas at Little Rock, for the purposes authorized by Act 1045 of 2007, for review
30 and discussion by the respective governing bodies.
31 Section 3. An agreement between the parties shall become effective upon passage of an ordinance
32 by the City Board of Directors to approve the agreement.
33 Section 4. Eminent Domain. The agreement shall provide that the authority's power of eminent
34 domain authorized in Ark. Code Ann. § 14- 144 -205 (West Supp. 2009) shall not be exercised against City

park property without the express written consent of the Board of Directors, and even then only after
compliance with the City's policy on the acquisition and alienation of park property.
Section 5. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or adju-
dication shall not affect the remaining portions of the resolution, which shall remain in full force and ef-
fect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the
resolution.
Section 6. Repealer. All ordinances, resolutions, bylaws, and other matters inconsistent with this or-
dinance are hereby repealed to the extent of such inconsistency.
