3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO ENTER INTO
4 AN AGREEMENT WITH THE LITTLE ROCK CONVENTION AND VISITORS
5 BUREAU TO MANAGE AND OPERATE THE LITTLE ROCK RIVER
6 MARKET AND RIVERFEST AMPHITHEATER; AND FOR OTHER
7 PURPOSES.

9 WHEREAS, the City owns the Little Rock River Market and the Riverfest Amphitheater and has
10 operated them as a public venue and tourist attraction for the past ten years, and
11 WHEREAS, the City and the Little Rock Convention and Visitors Bureau (LRCVB) have partnered
12 together to manage public facilities in the past and the LRCVB manages similar public venues and
13 tourist attractions and can bring a significant support structure to these City -owned facilities, and
14 WHEREAS, the City has discussed such a partnership for the past several years as a component of
15 the annual budget discussions, and
16 WHEREAS, the City believes that a successful operating agreement can be reached that further
17 enhances the public value of the Little Rock River Market and Riverfest Amphitheater.
18 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE
19 CITY OF LITTLE ROCK, ARKANSAS:
20 Section 1. The City Manager is authorized to execute an agreement with the Little Rock Convention
21 and Visitors Bureau for the management and operation of the Little Rock River Market and the Riverfest
22 Amphitheater.
23 Section 2. Any such agreement shall include the following terms and conditions:
24 (a) The City and the Little Rock Convention and Visitors Bureau will initiate the agreement no
25 later than November 1, 2009; the agreement shall be for the management and operation of the
26 Little Rock River Market, the Farmers' Market Pavilions and the Riverfest Amphitheater;
27 (b) The City shall provide up to $250,000 for the operation and maintenance of this facility in
28 fiscal year 2010;
29 (c) The City and the LRCVB will work together over the next twelve months to further expand
30 the agreement to transfer all financial responsibility of the facilities to the Little Rock Convention
31 and Visitors Bureau;
32 (d) The Farmers' Market shall have exclusive use of the Pavilions on Tuesday and Saturdays
33 from 6:00 a.m. to 2:00 p.m. from April through October and shall not be relocated or displaced

for another scheduled event unless the LRCVB and the City Manager have agreed to the
arrangements in;
(e) The agreement shall not have any negative impact on established events at the Market or
amphitheater, including, but not limited to, Riverfest, Easter Sunrise Service, Movies in the Park,
and Pops on the River.
Section 3. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or
adjudication shall not affect the remaining portions of the resolution which shall remain in full force.
