3 A RESOLUTION TO AUTHORIZE A FIVE YEAR EXTENSION OF THE INTERLOCAL
4 AGREEMENT FOR AMBULANCE SERVICE BETWEEN THE CITY OF LITTLE ROCK,
5 ARKANSAS AND THE CITY OF CONWAY, ARKANSAS, WHICH GRANTS THE
6 LITTLE ROCK AMBULANCE AUTHORITY ( "LRAA ") D /B /A METROPOLITAN
7 EMERGENCY MEDICAL SERVICES ( "MEMS ") AN EXCLUSIVE FRANCHISE TO
8 PROVIDE AMBULANCE SERVICES TO THE CITY OF CONWAY, ARKANSAS; AND
9 FOR OTHER PURPOSES.

WHEREAS, the Little Rock Ambulance Authority d /b /a Metropolitan Emergency Medical Services
( "MEMS ") was awarded an exclusive franchise to provide ambulance services to the City of Conway in
2004, and
WHEREAS, the Cities of Little Rock and Conway subsequently entered into an interlocal agreement
to provide said ambulance service for a term of five (5) years, and
WHEREAS, this Board believes that it is beneficial to continue to have MEMS provide ambulance
services to the City of Conway and thereby promote the health and welfare of the citizens of Little
Rock and Conway, and
WHEREAS, the City of Conway and MEMS have agreed to negotiate a financial subsidy, if required,
on an annual basis.
NOW, .THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF LITTLE
ROCK, ARKANSAS:
Section 1. The Board hereby authorizes the Mayor to enter into a five (5) year extension of the
interlocal agreement with the City of Conway, Arkansas, granting MEMS an exclusive franchise to
provide ambulance services (emergency and non - emergency) to the City of Conway, beginning
February 5, 2009.
Section 2. The City of Conway will pay a subsidy to MEMS in 2009 in the approximate amount of
ninety -one thousand one hundred dollars ($91,109), to defray the cost of MEMS' delivery of ambulance
service in the City, and shall negotiate future subsidies, if required, with MEMS and the City.
Section 3. For purposes of this resolution, the term "ambulance services" shall include the
transportation and care provided the critically ill or injured prior to arrival at a medical facility and
within a medical facility subject to the individual approval of the medical staff and governing board of
that facility, and further the transport to or from medical facilities including but not limited to
hospitals, nursing homes, physician's offices, and other health care facilities, of persons who are infirm
or injured and who are transported in a reclining position or who are ill but considered to be non -
emergency in status and who request ambulance transportation.

Section 4. Severability. In the event any portion of this resolution is declared or adjudged to be
invalid or unconstitutional, such declaration or adjudication shall not affect the remaining portions of
this resolution, which shall remain in full force and effect as if the portion so declared or adjudged
invalid or unconstitutional was not originally a part of this resolution.
Section 5. Repealer. All ordinances and resolutions, and parts thereof, which are in conflict with
any provision of this resolution are hereby repealed to the extent of such confli
