124191 2 RESOLUTION NO. 12,419 3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO ENTER INTO AN AGREE - 4 MENT WITH THE QUAPAW QUARTER ASSOCIATION TO OPERATE CURRAN HALL 5 AS A TOURIST INFORMATION CENTER; AND FOR OTHER PURPOSES. 3 7 WHEREAS, the City owns Curran Hall and has operated the same as a visitor's center working 8 through the auspices of the Little Rock Convention 8t Visitor's Bureau and the Little Rock Advertising £t 9 Promotion Commission ( "the Commission "), and 10 WHERERAS, a advisory group created by Mayor Jim Dailey developed a request for qualifications, 11 and through this process selected the Quapaw Quarter Association as the entity which best meets the 12 City's needs in the operation of a visitor's center at Curran Hall, and 13 WHEREAS, the City and the Quapaw Quarter Association are very close to reaching final language 14 for an agreement, 15 NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF LITTLE 16 ROCK, ARKANSAS: 17 Section 1. The City Manager is authorized to execute an agreement with the Quapaw Quarter As- 18 sociation, in a form acceptable to the City Attorney, for the operation and use of Curran Hall which 19 shall include, among other things, the operation of a tourist information center at this location. 20 Section 2. Any such agreement shall include the following terms and conditions: 21 (a) The Advertising and Promotion Commission, for a period of three years, shall provide oper- 22 ating monies not to exceed fifty thousand ($50,000) dollars per year to the Quapaw Quarter As- 23 sociation; 24 (b) The City shall provide for the maintenance of Curran Hall but in no event shall pay for the 25 utilities used by Curran Hall; 26 (c) The City shall include Curran Hall on a fire insurance policy of the City; 27 (d) The Quapaw Quarter Association shall, in coordination with the City, be allowed to rent 28 Curran Hall for various events such as weddings and other receptions so long as such activity 29 does not interfere with the operation of a visitor's center; 30 (e) The agreement shall not extend past one calendar year with the option, agreed to by both 31 parties, to extend the agreement in one year increments for a total period not to exceed three 32 years from the date of execution of the initial agreement. 33 Section 3. Severabi(ity. In the event any title, section, paragraph, item, sentence, clause, phrase, 34 or word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or 35 adjudication shall not affect the remaining portions of the resolution which shall remain in full force [Page 1 of 2] Resolution to authorize execution of Curran Hall agreement with the Quapaw Quarter Association 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 29 30 31 32 33 34 35 36 37 and effect as if the portion so declared or adjudged invalid or unconstitutional was not originally a part of the resolution. Section 4. Repealer. All laws, ordinances, resolutions, or parts of the same, that are inconsis- tent with the provisions of this resolution, are hereby repealed to the extent of such inconsistency.
