11 PURPOSES.

13 WHEREAS, Northrop Grumman Information Technology ( "Northrop
14 Grumman ") has provided maintenance and technical support for the City's Hewlett -
15 Packard products and operating system software for 911 dispatch since 1994; and
16 WHEREAS, the City's Hewlett- Packard operating system software is
17 copyrighted and has proprietary design and limited access features that are very
18 important when it comes to considering maintenance; and
19 WHEREAS, Northrop Grumman is authorized by Hewlett - Packard to provide
20 advisory and remedial software support and timely resolution of service requests via
21 electronic tools, telephone assistance, and on -site support and is represented locally by
22 trained personnel with the test equipment needed to properly maintain the City's
23 Hewlett- Packard hardware to ensure maximum coverage of the contracted
24 environment; and
25 WHEREAS, competitive bidding should be waived and the contract for such
26 maintenance and support services should be awarded to Northrop Grumman as the

I sole source provider of the type maintenance and technical support required for
2 Hewlett- Packard equipment and operating software.
3 NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF DIRECTORS
4 OF THE CITY OF LITTLE ROCK, ARKANSAS:
5 Section 1. The Board of Directors finds that competitive bidding should be
6 dispensed with in the purchase of maintenance and technical support services for
7 Hewlett- Packard equipment and operating software, as an exceptional situation exists
8 and competitive bidding is impractical and infeasible.
9 Section 2. The City Manager is authorized to dispense with competitive bidding
10 and to enter into a master service agreement with Northrop Grumman Information
11 Technology, Inc. to provide maintenance for the City's Hewlett- Packard hardware and
12 operating system software for a term of five (5) years for a total contract amount of
13 $164,034.00 divided into five (5) annual payments of:
14 $30,049.00 for period No. 1,
15 $31,552.00 for period No. 2,
16 $32,814.00 for period No. 3,
17 $34,127.00 for period No. 4, and
18 $35,492.00 for period No. 5.
19 Section 3. Funds for the first annual payment of $30,049.00 for Hewlett- Packard
20 maintenance and technical services have been appropriated and are available in the
21 Information Technology Department's Contracts Account No. 100-113-1300-6081(99).
22 Section 4. Severability. In the event any title, section, subsection, subdivision,
23 paragraph, subparagraph, item, sentence, clause, phrase, or word of this ordinance is
24 declared or adjudged to be invalid or unconstitutional, such declaration or adjudication
25 shall not affect the remaining portions of the ordinance which shall remain in full force

I and effect as if the portion so declared or adjudged invalid or unconstitutional was not
2 originally a part of the ordinance.
3 Section 5. Repealer. All laws, ordinances, resolutions, or parts of the same,
4 that are inconsistent with the provisions of this ordinance are hereby repealed to the
5 extent of such inconsistency.
6 Section 6. Emergency Clause. The City's ability to provide 911 dispatch services
7 is deemed essential to the preservation of the public health, safety and welfare; an
8 emergency is, therefore, declared to exist and this ordinance shall be in full force and
9 effect from and after the date of its passage.
