15059 1 RESOLUTION NO. 15,059 2 3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO ENTER 4 INTO A CONTRACT WITH PARKMOBILE, LLC, FOR MOBILE 5 PARKING PAYMENT TECHNOLOGY; AND FOR OTHER PURPOSES. 6 7 WHEREAS, Bids were solicited for Integrated Parking Management Systems through the National 8 Cooperative Purchasing Alliance("NCPA"); and, 9 WHEREAS, ParkMobile submitted a responsive bid meeting specifications and is an awarded 10 vendor with the NCPA to provide integrated parking management systems to public agencies at 11 established rates; and, 12 WHEREAS, ParkMobile is engaged in the business of providing integrated solutions for the 13 management of all parking-related matters, including providing a system for the payment of on-street and 14 off-street parking through proprietary mobile applications; and, 15 WHEREAS, on June 4, 2019, the City of Little Rock Board of Directors adopted Resolution No. 16 15,006 to authorize the use of the NCPA Contract as an option for the acquisition of commodities or 17 services for the City of Little Rock; and, 18 WHEREAS, ParkMobile and the City desire to enter into a mutually beneficial arrangement, 19 pursuant to which ParkMobile will market through ParkMobile Applications, Sites and other ParkMobile 20 owned or controlled assets,mobile parking services to the City. 21 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY 22 OF LITTLE ROCK,ARKANSAS: 23 Section 1. The Mayor and City Manager are hereby authorized to execute an agreement for Parking 24 Services with ParkMobile,LLC. 25 Section 2. The initial term of this Agreement shall commence as of the date of execution by both 26 parties and terminate on November 30, 2019 (the "Initial Term"). Following the Initial Term of this 27 Agreement, the Agreement will be renewed for an additional two (2) years upon the same terms, 28 covenants and conditions as set forth herein (each a "Renewal Term"); provided however, that 29 ParkMobile's annual contract for Integrated Parking Management System under the NCPA has been 30 renewed and in effect. ParkMobile shall be in default of the Agreement should ParkMobile's annual 31 contract with NCPA not be renewed. ParkMobile shall provide the City and the City's Purchasing 32 Department with written notice of the nonrenewal of ParkMobile's contract with NCPA. ParkMobile 33 shall also provide the City and the City's Purchasing Department with the renewal letter of ParkMobile's 34 contract with NCPA should the contract be renewed. [Page 1 of 2] 1 Section 3. Funding for this project is through user fees of the Parking Payment System. 2 Section 4. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or 3 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or 4 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and 5 effect as if the portion so declared or adjudged invalid or unconstitutional was not originally a part of the 6 resolution. 7 Section 5. Repealer.All laws, ordinances,resolutions, or parts of the same,that are inconsistent with 8 the provisions of this resolution, are hereby repealed to the extent of such inconsistency. 9 Section 6.
