3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO EXECUTE
4 A THREE (3)-YEAR RENEWAL AGREEMENT WITH SHI, INC., IN THE
5 INITIAL AMOUNT OF ONE MILLION,TWO HUNDRED SEVENTY-ONE
6 THOUSAND, FIVE HUNDRED FORTY-FIVE AND 20/100 DOLLARS
7 ($1,271,545.20), PLUS APPLICABLE TAXES AND FEES, FOR THE
8 CITY'S CORE CLIENT ACCESS LICENSES THROUGH A MICROSOFT
9 ENTERPRISE AGREEMENT; AND FOR OTHER PURPOSES.

I1 WHEREAS,the City has previously entered into agreements with SHI, Inc., to provide Core Client
12 Access Licenses for all City computer users for a period of up to three(3)years,and to provide services for
13 any new users;and,
14 WHEREAS, payment of certain Microsoft Core Client Access Licenses allows various software
15 applications to be used by its exiting 1,852 computer users through connections with all City servers and to
16 include a provision for the allowance of payment for additional per-user charges, if any, in future years of
17 the contract as determined by the State Purchasing Contract in effect at the time; and,
18 WHEREAS, renewal of licenses through connections with the Microsoft Enterprise Agreement is
19 necessary to maintain the four (4) critical software products: e-mail; file shares; system management
20 services;and share point; and,
21 WHEREAS, the three (3)-year renewal price for current users has been obtained through the State
22 Contract for such services and allows the City's computer users to continue to connect legally to all City
23 Microsoft services with the most current version of software;and,
24 WHEREAS, authorize the City Manager to enter into a three (3)-year renewal Microsoft Enterprise
25 Agreement in a form and format acceptable to the City Attorney to renew the City's Microsoft Core Client
26 Access Licenses and all other software products through Microsoft Enterprise, in the amount of One
27 Million, Two Hundred Seventy-One Thousand, Five Hundred Forty-Five and 20/100 Dollars
28 ($1,271,545.20), plus applicable taxes and fees,to be distributed as follows: Four Hundred Twenty-Nine
29 Thousand, Ninety-Four and 40/100 Dollars ($429,094.40) for Year I; Four Hundred Twenty-One
30 Thousand, Two Hundred Twenty-Five and 40/100 Dollars ($421,225.40) for Year 2; and Four Hundred
31 Twenty-One Thousand,Two Hundred Twenty-Five and 40/100 Dollars($421,225.40)for Year 3.
32 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY
33 OF LITTLE ROCK,ARKANSAS:

1 Section 1. The City Manager is authorized to enter into a three(3)-year renewal Microsoft Enterprise
2 Agreement for Core Client Access Licenses with SHI, Inc., in a form acceptable to the City Attorney, in
3 the maximum initial contract year amount of One Million, Two Hundred Seventy-One Thousand, Five
4 Hundred Forty-Five and 20/100 Dollars ($1,271,545.20), plus applicable taxes and fees, for the City's
5 current 1,852 users, with the allowance of payment for additional per-user charges, if any, in future years
6 of the contract as determined by the State Purchasing Contract in effect at the time.
7 Section 2. Funds for this agreement are available in Account No. 103030-61330; and will be paid
8 from Departmental Budgets.
9 Section 3. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or
10 word of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or
11 adjudication shall not affect the remaining portions of the resolution which shall remain in full force and
12 effect as if the portion so declared or adjudged invalid or unconstitutional were not originally a part of the
13 resolution.
14 Section 4. Repealer. All laws,ordinances,resolutions, or parts of the same,that are inconsistent with
15 the provisions of this resolution,are hereby repealed to the extent of such inconsistency.
