14908 1 RESOLUTION NO. 14,908 2 3 A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO ENTER 4 INTO AN AGREEMENT WITH BKD, LLP, TO PROVIDE CERTIFIED 5 PUBLIC ACCOUNTING SERVICES TO THE CITY OF LITTLE ROCK, 6 ARKANSAS FOR THE PERIOD ENDED 2018 - 2022; AND FOR OTHER 7 PURPOSES. 8 9 WHEREAS, the City is required to conduct an independent financial audit each year of its various 10 funds and pension plans, and in doing so to comply with various City Ordinances and State and Federal 11 Laws and regulations; and, 12 WHEREAS,after a competitive process it was determined that the firm of BKD,LLP, in Little Rock, 13 Arkansas,was the most qualified firm to provide these services to the City. 14 NOW,THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY 15 OF LITTLE ROCK,ARKANSAS: 16 Section 1. Pursuant to Little Rock, Ark., Rev. Code ("LRC") §2-243 (1988), the City Manager is 17 hereby authorized to enter into an agreement with BKD, LLP, to provide Certified Public Accounting 18 Services to the City of Little Rock for the 2018 Fiscal Year with a negotiated fee of up to Two Hundred 19 Eighty-Four Thousand, Two Hundred Forty Dollars ($284,240.00), including a 10% contingency in the 20 event of significant changes in the operations of the City of Little Rock,Arkansas,or new rules,regulations, 21 and accounting or auditing standards beyond Governmental Accounting Standards Board Statement No.75 22 (GASB 75). 23 Section 2. Upon a satisfactory completion of the City's 2018 Audit,the City Manager is authorized to 24 renew this contract annually for the years 2019, 2020, 2021 and 2022 to provide Certified Public 25 Accounting Services for the City. 26 Section 3. Upon satisfactory completion of the City's 2022 Audit,the Board of Directors may exercise 27 an option to extend the audit agreement for two(2)additional Fiscal Years, 2023 and 2024. 28 Section 4. Severability.In the event any title,section,paragraph,item,sentence,clause,phrase or word 29 of this resolution is declared or adjudged to be invalid or unconstitutional, such declaration or adjudication 30 shall not affect the remaining portions of the resolution which shall remain in full force and effect as if the 31 portion so declared or adjudged invalid or unconstitutional were not originally a part of the resolution. 32 Section 5.Repealer.All laws ordinances resolutions or parts of the same that are inconsistent with the 33 provisions of this resolution are hereby repealed to the extent of such inconsistency.
