3 AN ORDINANCE TO AUTHORIZE THE CITY MANAGER TO
4 DISPENSE WITH THE REQUIREMENT OF COMPETITIVE BIDDING
5 FOR PURCHASE OF UP TO FORTY-THREE (43) MONTHS OF
6 SOFTWARE MAINTENANCE SERVICES AND SUPPORT AND
7 THIRTY-SIX (36) MONTHS OF HARDWARE MAINTENANCE AND
8 SUPPORT FOR THE NGIT ALTARIS APPLICATION FOR THE CITY'S
9 COMPUTER-AIDED 911 DISPATCH SYSTEM IN THE AMOUNT OF
10 NINE HUNDRED FIFTY-SIX THOUSAND, SIX HUNDRED NINETY-
11 FIVE DOLLARS ($956,695.00), PLUS APPLICABLE TAXES; TO
12 DECLARE AN EMERGENCY; AND FOR OTHER PURPOSES.

14 WHEREAS,the City utilizes a Computer-Aided Dispatch System for its 911 Operations; and,
15 WHEREAS, this system is managed by Northrop Grumman Information Technology, Inc., through
16 software purchased by the City in 1996; and,
17 WHEREAS, Northrop Grumman Information Technology, Inc., has merged with and into its parent
18 company Northrop Grumman Systems Corporation("Northrop Grumman"); and,
19 WHEREAS, because this software is a Northrop Grumman proprietary application, the Software
20 Maintenance Service must be provided by Northrop Grumman to provide the necessary updates and
21 maintenance service required to protect against a shut-down of the 911 Dispatch System; and,
22 WHEREAS, the City and Northrop Grumman entered into a five (5)-year Software Maintenance
23 Agreement (the "Agreement") effective December 1, 2009, whereby Northrop Grumman was to provide
24 Altaris Software Maintenance Services for the Customer's Computer-Aided Dispatch System, and said
25 agreement expires on February 28, 2015; and
26 WHEREAS,the current Software Maintenance Agreement with Northrop Grumman commenced on
27 April 1, 2017, and expires on March 31, 2018; and
28 WHEREAS,the current Hardware Maintenance Agreement with Northrop Grumman commenced on
29 November 31, 2017, and expires on October 31,2018; and
30 WHEREAS, if approved both the Hardware and Software Maintenance and Support Services will
31 terminate on the same date and the City will have an option to terminate the maintenance service upon
32 ninety(90)-day notice.

1 NOW,THEREFORE,BE IT ORDAINED BY THE BOARD OF DIRECTORS OF THE CITY
2 OF LITTLE ROCK,ARKANSAS:
3 Section 1. Because of the need to have periodic software maintenance performed by Northrop
4 Grumman technicians in order to comply with the Northrop Grumman Altaris Software License
5 requirements and to protect the Computer-Aided Dispatch System for essential 911 services,the Board of
6 Directors declares that it is impractical and unfeasible to submit this matter to a competitive bid process
7 and,therefore,waives competitive bidding.
8 Section 2. The City will have an option to terminate the maintenance service upon a ninety(90)-day
9 notice.
10 Section 3. The City Manager is hereby authorized to dispense with competitive bids for purchase of
11 up to forty-three (43) months of Software Maintenance Services and support and thirty-six (36) months
12 of Hardware Maintenance and support for the NGIT Altaris Application for the City's Computer-Aided
13 911 Dispatch System, at a cost of Nine Hundred Fifty-Six Thousand, Six Hundred Ninety-Five Dollars
14 ($956,695.00),plus applicable taxes.
15 Section 4. Funds for the specific Maintenance Agreement extension authorized by this ordinance are
16 available in the Information Technology Department's Annual Operating Budget Account No. 103050-
17 61350.
18 Section 5. Severability. In the event any title, section, paragraph, item, sentence, clause,phrase, or
19 word of this ordinance is declared or adjudged to be invalid or unconstitutional, such declaration or
20 adjudication shall not affect the remaining portions of the ordinance which shall remain in full force and
21 effect as if the portion so declared or adjudged invalid or unconstitutional was not originally a part of the
22 ordinance.
23 Section 6. Repealer. All ordinances and resolutions, and parts thereof, which are in conflict with
24 any provision of this ordinance are hereby repealed to the extent of such conflict.
25 Section 6. Emergency. The need for immediate and uninterrupted Software Maintenance Services
26 is necessary to protect the City's critical 911 Dispatch System for essential City services, and, therefore,
27 is crucial to protect the public health, safety and welfare; an emergency is, therefore, declared to exist
28 and this ordinance shall be in full force and effect from and after the date of its passage.
