21008 1 ORDINANCE NO. 21,008 2 3 AN ORDINANCE TO DISPENSE WITH THE REQUIREMENT OF 4 COMPETITIVE BIDDING FOR PURCHASE OF UP TO TWELVE (12) 5 MONTHS OF SOFTWARE MAINTENANCE SERVICES AND SUPPORT 6 FOR THE NGIT ALTARIS APPLICATION FOR THE CITY'S 7 COMPUTER-AIDED 911 DISPATCH SYSTEM IN THE AMOUNT OF 8 ONE HUNDRED FIFTY-THREE THOUSAND, ONE HUNDRED NINETY- 9 FIVE AND 56/100 DOLLARS ($153,195.56) PLUS TAXES; TO DECLARE 10 AN EMERGENCY; AND FOR OTHER PURPOSES. 11 12 WHEREAS,the City uses a Computer-Aided Dispatch System for its 911 operations; and, 13 WHEREAS, this system is managed by Northrop Grumman Information Technology, Inc., through 14 software purchased by the City in 1996; and, 15 WHEREAS, Northrop Grumman Information Technology, Inc., has merged with and into its parent 16 company Northrop Grumman Systems Corporation("Northrop Grumman"); and, 17 WHEREAS, because this software is a Northrop Grumman proprietary application, the software 18 maintenance service must be provided by Northrop Grumman to provide the necessary updates and 19 maintenance service required to protect against a shut-down of the 911 dispatch system; and, 20 WHEREAS, the City and Northrop Grumman entered into a five (5)-year software maintenance 21 Agreement (the "Agreement") effective December 1, 2009, whereby Northrop Grumman was to provide 22 Altaris software maintenance services for the Customer's Computer Aided Dispatch System, and said 23 agreement expires on February 28, 2015; 24 NOW, THEREFORE,BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY 25 OF LITTLE ROCK,ARKANSAS: 26 Section 1. Because of the need to have periodic software maintenance performed by Northrop 27 Grumman technicians in order to comply with the Northrop Grumman Altaris software license 28 requirements and to protect the computer-aided dispatch system for essential 911 services, the Board of 29 Directors declares that it is impractical and unfeasible to submit this matter to a competitive bid process 30 and,therefore, waives competitive bidding. 31 Section 2. The City will have an option to terminate the maintenance service upon a thirty (30)-day 32 notice. (Page 1 of 21 1 Section 3. The City Manager is hereby authorized to dispense with competitive bids for purchase of 2 up to twelve (12) months of software maintenance services and support for the NGIT Altaris application 3 for the City's Computer-Aided 911 Dispatch System, at a cost of One Hundred Fifty-Three Thousand, 4 One Hundred Ninety-Five and 56/100 Dollars($153,195.56) plus taxes. 5 Section 4. Funds for the specific agreement extension authorized by this ordinance are available in 6 the City's Network Operations Account No. 103001-63211. 7 Section 5. Severability. In the event any title, section, paragraph, item, sentence, clause, phrase, or 8 word of this ordinance is declared or adjudged to be invalid or unconstitutional, such declaration or 9 adjudication shall not affect the remaining portions of the ordinance which shall remain in full force and 10 effect as if the portion so declared or adjudged invalid or unconstitutional was not originally a part of the 11 ordinance. 12 Section 6. Repealer. All ordinances and resolutions, and parts thereof, which are in conflict with 13 any provision of this ordinance are hereby repealed to the extent of such conflict. 14 Section 6. Emergency.
