RESOLUTION NO. 3 ,340 A RESOLUTION AWARDING A CONTRACT TO BRANTON CONSTRUCTION COMPANY FOR THE CONSTRUCTION OF A BUILDING AND RETAINING WALLS FOR THE PROPOSED BEAR MOAT AT THE ZOO IN THE CITY OF LITTLE ROCK, ARKANSAS; AUTHORIZING AND DIRECT- ING THE MAYOR AND CITY CLERK TO EXECUTE A CON- TRACT PERTAINING THERETO; AND FOR OTHER PURPOSES. WHEREAS, invitation for bids was duly advertised, pursuant to which bids were received by the City of Little Rock for the construction of a building and retaining walls in the City of Little Rock Zoo for a facility commonly known as a bear moat; and WHEREAS, the lowest responsible and responsive bid received was the bid of Branton Construction Company in the sum of Forty-One Thousand Seven Hundred Ten and No/100 Dollars ($41,710.00) ; and WHEREAS, said bid was in excess of the estimates and antici- pated expenditure in connection with the said work and that, through negotiation with the said lowest responsible and respon- sive bidder, the contract sum was reduced to Thirty-One Thousand Six Hundred Fifty and No/100 Dollars ($31,650.00) by eliminating certain basic items contained in the bidding forms and documents; and WHEREAS, it is the desire of the Board of Directors of the City of Little Rock to award a contract for the construction of the bear moat as aforesaid to Branton Construction Company; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF LITTLE ROCK, ARKANSAS: SECTION 1. The bid of Branton Construction Company for con- struction of a bear moat, as modified by deletion of certain base-bid items , in the final sum of Thirty-One Thousand Six Hundred Fifty and No/100 Dollars ($31,650.00) hereby is accepted. SECTION 2. The Mayor and City Clerk are hereby authorized and directed for and in behalf of the City of Little Rock to execute a contract between the City of Little Rock and Branton Construction Company for the construction of a building and retaining walls to be used as a bear moat in the City of Little Rock Zoo in full and complete accordance with the specifications, drawings, and contract documents prepared by Robinson and Wassell, dated March 8, 1965, which plans and specifications are on file in the Department of Parks and Recreation in the City of Little Rock, Arkansas. Branton DBA,I hereinafter called the Contractor, Branton Construction Company WITNESSETH, that the Owner and the Contractor for the considerations hereinafter named agree as follows: ARTICLE 1. SCOPE OF THE WORK The Contractor shall furnish all of the materials and perform all of the work shown on the Drawings and described in the Specifications entitled: (Here insert the caption descriptive of the work as used on other contract documents.) TIME OF COMPLETION The work to be performed under this Contract shall be commenced and completed as follows: (Here insert stipulation as to liquidated damages, if any.) After issuance of work order by the City, the work shall commence and be fully completed in 100 consecutive calendar days. ARTICLE 3. THE CONTRACT SUM The Owner shall pay the Contractor for the performance of the Contract, subject to additions and deduc- tions provided therein, in current funds as follows: (State here the lump sum amount, unit prices, or both, as desired., Thirty One Thousand, Six Hundred Fifty and No/100 Dollars ($31 ,650. 00 ) See Appendix "A" in this contract Where the quantities originally contemplated are so changed that application of the agreed unit price to the quantity of work performed is shown to create a hardship to the Owner or the Contractor, there shall be an equitable adjustment of the Contract to prevent such hardship. PROGRESS PAYMENTS The Owner shall make payments on account of the Contract as provided therein, as follows: On or about the 15 day of each month 9 Q per cent of the value, based on the Contract prices of labor and materials incorporated in the work and 9 Q per cent of materials suitably stored at the site thereof or at some other location agreed upon in writing by the parties up to the 1St day of that month, as estimated by the Architect, less the aggregate of previous payments; and upon Substantial Completion of the entire work, a sum sufficient to increase the total payments to 9 0 per cent of the Contract price. $31 6 5 n n (Insert here any provision made for limiting or reducing the amount retained after the work reaches a certain &age(3Y do dletion.) ARTICLE 5. ACCEPTANCE AND FINAL PAYMENT Final payment shall be due 3 0 days after Substantial Completion of the work provided the work be then fully completed and the contract fully performed. Upon receipt of written notice that the work is ready for final inspection and acceptance, the Architect shall promptly make such inspection, and when he finds the work acceptable under the Contract and the Contract fully performed he shall promptly issue a final certificate, over his own signature, stating that the work provided for in this Contract has been completed and is accepted by him under the terms and con- ditions thereof, and that the entire balance found to be due the Contractor, and noted in said final certificate, is due and payable. Before issuance of final payment the Contractor shall submit evidence satisfactory to the Architect that all payrolls, material bills, and other indebtedness connected with the work have been paid or otherwise satisfied. If after the work has been Substantially Completed, full completion thereof is materially delayed through no fault of the Contractor, and the Architect so certifies, the Owner shall, upon certificate of the Architect, and without terminating the Contract, make payment of the balance due for that portion of the work fully completed and accepted. Such payment shall be made under the terms and conditions governing final payment, except that it shall not constitute a waiver of claims. OWNER-CONTRACTOR AGREEMENT FOUR PAGES ALA I)OC.
