RESOLUTION NO . 2397
A RESOLUTION AUTHORIZING AND DIRECTING THE MAYOR AND CITY
CLERK TO ENTER INTO AND EXECUTE AN AGREEMENT ON BEHALF OF
THE CITY OF LITTLE ROCK, ARKANSAS , WITH A. F. ALDRIDGE
D/B/A ALDRIDGE WRECKING COMPANY FOR THE SALE TO AND DEMO-
LITION BY SAID COMPANY OF ALL IMPROVEMENTS, INCLUDING A
BUSINESS BUILDING, FENCES, SHRUBS AND TREES FROM PROPERTY
HEREINAFTER DESCRIBED; AND FOR OTHER PURPOSES.
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE CITY OF LITTLE
ROCK, ARKANSAS :
SECTION 1. The Mayor and City Clerk are hereby authorized
and directed to enter into and execute an agreement on behalf
of the City of Little Rock, Arkansas, with A. F. Aldridge d/b/a
Aldridge Wrecking Company for the sale to and demolition by said
Company of all improvements, including a business building, fences,
shrubs and trees from property hereinafter described; which Agree-
ment shall be in form and words as follows :

This agreement made and entered into this day of 33$4,
19.39 , between the CITY OF LITTLE ROCK, ARKANSAS, acting by and through
its Mayor and City Clerk, hereinafter called the "First Party" and
A. F. ALDRIDGE d/b/a ALDRIDGE WRECKING COMPANY, hereinafter called
the "Second Party",
WITNESSETH:
That for and in consideration of the mutual covenants hereinafter
contained and set forth the parties hereto mutually agree as follows :
1 . First Party agrees to sell and Second Party agrees to pur-
chase for a total price of Eighty Seven and 50/100 Dollars ($87 .50)
all improvements, including a business building, fences, shrubs and
trees from the following described property:
Lot 12 , Block 126 , Original City of Little Rock,
Arkansas.
2 . Second Party agrees to remove within twenty five (25) days
from the date of this agreement all debris and rubbish from the above
described premises leaving the same clear to the natural grade line .
Second Party further agrees to cut and remove all reinforcing steel ,
bolts and other materials protruding above the natural grade line and
to remove from the basement of the residence located on the said
property all debris and other loose material. The Second Party agrees
to construct to the satisfaction of the Director of Public Works of
the City of Little Rock, Arkansas, a barricade fence around the said
basement in such a manner as to prevent pedestrians and animals from
falling into such basement .
3 . Second Party agrees that in the event that any utility lines
servicing buildings not located on the above described premises are
disconnected, destroyed, or otherwise impaired in any way by reason
of the removal of the improvements as provided for herein , that said
Second Party will at his own cost and expense, provide such buildings
with adequate substitute utility service lines in lieu of those
affected , and will reimburse the First Party for any damage or loss
sustained by reason of such disconnection , destruction or impairment .
4. Second Party agrees to furnish a performance bond in the
form of cash or cashier ' s check in the amount of Two Hundred Dollars
($200.00) to insure the proper clearance of the above descried pre-
mises pre-
mises witnin the time herein provided .
5 . Second Party agrees to hold First Party harmless from any
and all damages , claims or causes of action arising out of or in any
way related no the removal and demolition of improvements located on
the above descriued premises .
6. First Party makes no guarantee whatever of the condition
or quality of the buildings and improvements located on the said pro-
perty or chat they wi _ . be useable for any purpose whatever. Second
Party agrees to accept said improvements as is" and understands that
no warranty whatever is made of their condition , quality or useability.
7 . First Party makes no guarantee whatever that necessary
permits or certificates will be issued in connection with the wrecking
and demolition of improvements on the said property. Second Party
agrees to assume all risks and expenses in connection with the issuance
of any of such permits or certificates. Second Party agrees to comply
with all city ordinances , regulations and state statutes in connection
with the wrecking and demolition of improvements on the said premises.
d . Second Party agrees to pay to the First Party as liquidated
damages, and not in the nature of a penalty, the sum of Ten Dollars
($10000) per day for each and every day the Second Party shall exceed
the time prescribed herein for the demolition of the buildings and
